1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the EduOrbits platform, website (eduorbits.com), subdomains, APIs, and associated mobile applications.

If you are registering on behalf of a school, coaching center, university, or academy, you represent and warrant that you possess the necessary organizational authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must immediately discontinue using the Platform.

2. Description of Services

EduOrbits provides a cloud-based Software-as-a-Service (SaaS) platform tailored for educational institutions:

• School ERP Suite: Student admissions, teacher attendance, fee invoicing, automated SMS/WhatsApp alerts, CBSE/ICSE marks report cards, timetable scheduling, library and transport management.
• Coaching Academy LMS: Batch scheduling, rank predictors, mock tests, fee follow-up bots, and mentor-student tracking.
• Student & Parent Portals: Dual-institution switcher allowing parents and students to monitor school and coaching activities from a single login.

3. Account Registration & Security

To access the Platform, you must register an account and maintain accurate, up-to-date information:

• You are solely responsible for maintaining the confidentiality of your login credentials (passwords, OTPs, session keys).
• You must immediately notify us at support@eduorbits.com if you suspect any unauthorized access or security breach.
• We reserve the right to suspend or terminate accounts that contain false, misleading, or fraudulent information.

4. Institutional Data Ownership

EduOrbits is granted only a limited, revocable license to host, process, and transmit this data strictly for the operational delivery of the SaaS service.

5. Permitted Use & Code of Conduct

You agree not to engage in any of the following prohibited activities:

• Reverse engineering, decompiling, or attempting to extract source code from the Platform.
• Submitting false attendance, fraudulent exam marks, or impersonating other users.
• Automated scraping, crawling, or extracting platform data without explicit written consent.
• Distributing malicious scripts, viruses, or attempting unauthorized penetration testing.
• Sending unsolicited commercial spam through the notification or SMS broadcast module.

6. Subscription Plans, Billing & Renewals

• Free Trials: We may offer a 14 or 30-day free trial. Following the trial period, an active subscription plan is required to continue full administrative access.
• Pricing & Taxes: Subscription fees are billed on a monthly, quarterly, or annual basis as selected during plan checkout. Prices are subject to applicable Goods and Services Tax (GST) in India.
• Late Payments: Accounts with overdue invoices may be placed in a restricted read-only mode after a grace period of 7 business days until dues are cleared.

7. Digital Delivery & Shipping Policy (SaaS Fulfillment)

EduOrbits is a 100% cloud-based Software-as-a-Service (SaaS) platform. No physical products or goods are shipped or delivered.

• Mode of Delivery: All software modules, administrative portals, student accounts, and software licenses are provisioned and delivered electronically.
• Fulfillment Timeline: Access credentials and onboarding links are delivered instantly via web activation, registered email, and SMS upon successful account registration or payment confirmation (typically within 10 to 30 minutes).
• Invoicing: Digital GST tax invoices and payment receipts are issued electronically and made available for instant download within the institution dashboard.

8. Service Availability & SLA

We target an operational uptime of 99.9%. However, temporary interruptions may occur due to planned maintenance, network carrier disruptions, or unexpected cloud provider outages. We will endeavor to provide prior notice for any scheduled maintenance window.

10. Termination & Data Retrieval

Either party may terminate the subscription agreement by giving 30 days written notice. Upon termination:

• The institution will have a 30-day grace period to export all student rosters, fee reports, and academic records in standard CSV/PDF formats.
• Following the export window, all tenant data will be securely decommissioned in accordance with our retention policy.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or claim arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
